Corporate finance advisory

Kapital Partner advises companies, owners and boards on capital raising, M&A, IPOs and capital market matters.

01

Advisory

Our advice covers strategic assessment, financial analysis, transaction structuring and execution.

A transaction should be structured on the basis of the company’s strategy, capital requirements, ownership structure and market position.

Kapital Partner assists in analysing the relevant alternatives, assessing their financial and strategic implications and establishing a basis for decisions by owners, management and the board.

When a transaction is executed, we provide financial advice and coordinate the process from preparation and market dialogue through negotiation and completion.

02

Capital raising

Kapital Partner advises private and listed companies on equity financing.

Our advice is based on the company’s capital requirements, capital structure, development plan and intended use of proceeds. On this basis, we assess transaction structure, valuation, investor base and timing.

Our advice may include:

  • Analysis of capital requirements
  • Valuation and transaction structure
  • Development of the equity story
  • Information memorandum and investor materials
  • Investor presentations and market dialogue
  • Negotiation and execution of the transaction

We have particular experience advising listed companies on private placements, rights issues, directed share issues and other forms of equity financing.

03

M&A

Kapital Partner advises on acquisitions and disposals, mergers and changes of ownership.

An M&A process begins with clarification of the owner’s or company’s strategic and financial objectives. Valuation, process structure, relevant counterparties and timetable are then determined.

Our advice may include:

  • Strategic analysis and transaction preparation
  • Valuation and financial modelling
  • Identification of buyers or acquisition targets
  • Preparation of information materials
  • Contact and dialogue with potential counterparties
  • Structuring the bidding process
  • Coordination of due diligence
  • Negotiation of price and transaction terms
  • Coordination with legal and other advisers

In a company sale, the process is structured to establish a documented basis for decision-making and controlled competition among relevant buyers.

In an acquisition, Kapital Partner assists with assessing the strategic rationale, valuation, financing and execution.

04

IPOs and IPO readiness

Kapital Partner advises companies and owners on the preparation and execution of stock exchange listings, including both IPOs (Initial Public Offerings) and direct listings (listings without a simultaneous capital raise), for companies within and outside Scandinavia.

We begin by assessing the company’s suitability for the capital markets, including its size, ownership structure, management, governance, reporting, financing requirements and investment case.

An IPO-readiness process may include:

  • Assessment of IPO readiness
  • Selection of market and listing structure
  • Corporate and capital structure
  • Equity story and valuation
  • Prospectus and company description
  • Investor presentation and marketing
  • Roadshow, underwriting, IPO guarantees and pre-subscription commitments

The purpose of IPO readiness is to identify and address matters that may affect the company’s suitability, valuation or execution of a future listing.

05

Certified Adviser

Kapital Partner acts as Certified Adviser for companies on Nasdaq First North Growth Market.

Prior to listing, we assist in assessing the company’s suitability, preparing documentation and coordinating the process with Nasdaq and the company’s other advisers.

Following the listing, we advise management and the board on ongoing obligations, including:

  • Disclosure obligations
  • Company announcements
  • Internal handling of inside information
  • Financial calendar and reporting
  • Governance and internal procedures
  • Changes in management, capital and ownership structure
  • Dialogue with Nasdaq

The Certified Adviser function encompasses both monitoring compliance and providing ongoing advice on the company’s interaction with the capital markets.

06

Working approach

Kapital Partner works directly with the company’s owners, management and board.

Our advice is organised around a dedicated lead adviser and a clear working and decision-making structure. This ensures continuity from the initial analysis and preparation of materials through market dialogue and final negotiations.

Where appropriate, Kapital Partner coordinates the work of legal advisers, auditors, banks, marketplaces and other specialists.
